Commodification and commoditization

The dispute between the terms of commodification (Marxist political theory) and commoditization (business theory) was first highlighted by Douglas Rushkoff.[4]. Douglas highlighted that the words Commodification and Commoditization were used to describe the two different processes between the assignment of value to a social good and the movement towards undifferentiated competition. Rushkoff's outlined an approach which is closer to the common usages of the words.
Commodification (1975, origins Marxist political theory.) is used to describe the process by which something which does not have an economic value is assigned a value and hence how market values can replace other social values. It describes a modification of relationships, formerly untainted by commerce, into commercial relationships.
Commoditization (early 1990s, origins Business theory) is the process by which goods that have economic value and are distinguishable in terms of attributes (uniqueness or brand) end up becoming simple commodities in the eyes of the market or consumers. It is the movement of a market from differentiated to undifferentiated price competition and from monopolistic to perfect competition.

獨立董事（independent director）

獨立董事（independent director）定義：

係指外部非關聯董事，即外部且獨立的董事，其須非公司一定持股比例之大股東，亦未在公司內部任職，且非公司營運相關之關係人，而可對公司事務為獨立判斷與提供客觀意見之董事，強調的是其獨立性與專業性，而有助於監督公司的運作和保護股東之權益。

在我國，依據「公開發行公司獨立董事設置及應遵循事項辦法」第 2 條第1項規定，公開發行公司之獨立董事，應取得下列專業資格條件之ㄧ，並具備五年以上工作經驗：

一、商務、法務、財務、會計或公司業務所需相關科系之公私立大專院校講師以上。

二、法官、檢察官、律師、會計師或其他與公司業務所需之國家考試及格領有證書之專門職業及技術人員。

三、具有商務、法務、財務、會計或公司業務所需之工作經驗。　　

另依同條第 2 項規定，有下列情事之ㄧ者，不得充任獨立董事，其已充任者，當然解任：

四、有公司法第三十條各款情事之一。

五、依公司法第二十七條規定以政府、法人或其代表人當選。

六、違反「公開發行公司獨立董事設置及應遵循事項辦法」所定獨立董事之資格。

此外，依同辦法第 3 條規定，獨立董事於選任前二年及任職期間須非為公司或其關係企業之受僱人、董事、監察人、持股一定比例之股東或為公司或關係企業提供商務、法務、財務、會計等服務或諮詢之專業人士等等，對於其「獨立」行使職權，即有特別嚴格之要求。

who u are

Someone asked me some questions which no body asked before. It made me to rethink about me myself deeply, as recalling the conversation it seemd that I had no idea describing well. Later on, I suprisingly found out myself understanding is so poor.

Doubting is hurt, especially when the object is yourself. Perhaps the reason is I don't want to hurt people. Perhaps it's actually I haven't been brave enough. Perhaps I should just ignore all of these annoyances.

I don't know....Facing it might be a much better way to solve it though I know it'll bring me a long tough time.

But please, I want to figure it out!
